Welcome to ChartWizard ("the App"), operated by Raleigh Harris ("we," "our," or "us"). By accessing or using the App, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use the App.

1. Acceptance of Terms

By creating an account, downloading, accessing, or using ChartWizard, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. These Terms constitute a legally binding agreement between you and ChartWizard.

2. Description of Service

ChartWizard is a mobile application that provides AI-powered trading chart analysis tools. The App allows users to:

• Upload trading chart screenshots for analysis

• Receive AI-generated trading insights and analysis

• Access entry and exit level recommendations

• Track and organize chart analyses

3. Eligibility

You must be at least 18 years old to use ChartWizard. By using the App, you represent and warrant that:

• You are at least 18 years of age

• You have the legal capacity to enter into these Terms

• You are not prohibited from using the App under applicable law

• All information you provide is accurate and current

4. Account Registration and Security

4.1 Account Creation

• You must create an account to access certain features of the App

• You agree to provide accurate, current, and complete information during registration

• You are responsible for maintaining the accuracy of your account information

4.2 Account Security

• You are solely responsible for maintaining the confidentiality of your account credentials

• You are responsible for all activities that occur under your account

• You must immediately notify us of any unauthorized access or security breach

• We are not liable for any loss or damage arising from your failure to protect your account

4.3 Account Restrictions

• You may not share your account with others

• You may not create multiple accounts to circumvent limitations or restrictions

• One account per user is permitted

5. Subscriptions and Payments

5.1 Subscription Plans

ChartWizard offers subscription-based access to premium features. Current pricing is $34.99 per month, subject to change with prior notice.

5.2 Payment Processing

• Payments are processed through Apple App Store, Google Play Store, or Stripe (for web subscriptions)

• By subscribing, you authorize us to charge your selected payment method

• All fees are in U.S. dollars unless otherwise stated

5.3 Automatic Renewal

• Subscriptions automatically renew at the end of each billing period unless canceled

• You will be charged the then-current subscription rate upon renewal

• To cancel, you must do so through the platform where you purchased (App Store, Google Play, or Stripe portal) before the renewal date

5.4 Cancellation and Refunds

• You may cancel your subscription at any time through your platform settings

• Cancellations take effect at the end of the current billing period

• No refunds are provided for partial subscription periods

• Refund requests for subscriptions purchased through Apple or Google are subject to their respective refund policies

5.5 Price Changes

• We reserve the right to modify subscription pricing with at least 30 days' notice

• Price changes will take effect at your next renewal date

• Continued use of the App after a price change constitutes acceptance of the new price

5.6 Free Trials

• We may offer free trial periods from time to time

• You must cancel before the trial period ends to avoid being charged

• Only one free trial per user is permitted

6. Acceptable Use

6.1 Permitted Use

You may use ChartWizard only for lawful purposes and in accordance with these Terms. You agree to use the App:

• For your personal, non-commercial use

• In compliance with all applicable laws and regulations

• In a manner that does not infringe on the rights of others

6.2 Prohibited Activities

You agree NOT to:

• Use the App for any illegal purpose or in violation of any laws

• Attempt to gain unauthorized access to the App, servers, or networks

• Reverse-engineer, decompile, or disassemble the App

• Use automated systems (bots, scrapers) to access the App

• Share, sell, or transfer your account to others

• Upload malicious code, viruses, or harmful content

• Interfere with or disrupt the App's functionality

• Violate the intellectual property rights of ChartWizard or third parties

• Impersonate others or provide false information

• Use the App to manipulate markets or engage in fraudulent trading activities

6.3 Enforcement

We reserve the right to investigate violations of these Terms and take appropriate action, including suspension or termination of your account.

7. No Financial or Investment Advice

7.1 Educational Purposes Only

ChartWizard is provided for informational and educational purposes only. The App does not provide financial advice, investment advice, trading advice, or any other type of professional advice.

7.2 Not a Recommendation

• All analyses, insights, and information provided by the App are for educational purposes

• Nothing in the App should be construed as a recommendation to buy, sell, or hold any security or financial instrument

• The App does not guarantee any specific results or outcomes

7.3 Your Responsibility

• You are solely responsible for your own trading and investment decisions

• You should conduct your own research and due diligence

• You should consult with qualified financial professionals before making any financial decisions

• Past performance does not guarantee future results

7.4 Risk Disclosure

Trading and investing involve substantial risk of loss. You acknowledge that:

• You may lose some or all of your invested capital

• You should only trade with money you can afford to lose

• Trading decisions are made at your own risk

• ChartWizard is not responsible for any trading losses

8. Intellectual Property Rights

8.1 Ownership

All content, features, and functionality of ChartWizard, including but not limited to text, graphics, logos, software, and AI-generated analysis, are owned by ChartWizard and are protected by copyright, trademark, and other intellectual property laws.

8.2 Limited License

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the App for your personal use in accordance with these Terms.

8.3 User Content

• You retain ownership of charts and images you upload to the App

• By uploading content, you grant us a license to use, process, and analyze it to provide our services

• You represent that you have the right to upload any content you submit

• We may retain uploaded charts for service improvement purposes

8.4 Restrictions

You may not:

• Copy, modify, or create derivative works of the App

• Remove or alter any copyright, trademark, or proprietary notices

• Use our trademarks or branding without written permission

9. Third-Party Services

The App integrates with third-party services including OpenAI for AI analysis. Your use of these integrated services may be subject to their respective terms and policies. We are not responsible for the actions, content, or policies of third-party services.

10. Disclaimer of Warranties

THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

• Warranties of merchantability or fitness for a particular purpose

• Warranties of accuracy, reliability, or completeness of information

• Warranties that the App will be uninterrupted, secure, or error-free

• Warranties regarding AI-generated analysis or predictions

We do not warrant that:

• The App will meet your requirements or expectations

• Any errors or defects will be corrected

• The App is free from viruses or harmful components

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

11.1 No Liability for Losses

WE ARE NOT LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

• Trading losses or investment losses

• Loss of profits, revenue, or business opportunities

• Loss of data or information

• Loss of goodwill or reputation

• Any other losses resulting from your use of the App

11.2 Maximum Liability

In no event shall our total liability to you exceed the amount you paid to us in the twelve (12) months preceding the event giving rise to liability, or $100, whichever is greater.

11.3 Basis of the Bargain

You acknowledge that these limitations of liability are a fundamental basis of the bargain between you and ChartWizard, and that we would not provide the App without these limitations.

12. Indemnification

You agree to indemnify, defend, and hold harmless ChartWizard, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or relating to:

• Your use of the App

• Your violation of these Terms

• Your violation of any rights of third parties

• Your trading activities or decisions made based on App information

13. Termination

13.1 Termination by You

You may terminate your account at any time by:

• Canceling your subscription through the relevant platform

• Deleting your account through the App settings

• Contacting us at support@chartwizard.io

13.2 Termination by Us

We may suspend or terminate your account immediately, without prior notice, if:

• You violate these Terms

• You engage in fraudulent or illegal activities

• We are required to do so by law

• We discontinue the App

13.3 Effect of Termination

Upon termination:

• Your right to use the App will immediately cease

• Your account data will be deleted in accordance with our Privacy Policy

• You will not be entitled to any refunds for unused subscription time

• Sections of these Terms that by their nature should survive will remain in effect

14. Modifications to the App and Terms

14.1 Changes to the App

We reserve the right to:

• Modify, suspend, or discontinue any feature of the App at any time

• Change the App's functionality or appearance

• Impose limits on certain features

14.2 Changes to Terms

We may update these Terms from time to time. When we make changes:

• We will update the "Last Updated" date

• For material changes, we will notify you via email or through the App

• Your continued use of the App after changes constitutes acceptance

We encourage you to review these Terms periodically.

15. Governing Law and Dispute Resolution

15.1 Governing Law

These Terms are governed by and construed in accordance with the laws of the United States, without regard to conflict of law principles.

15.2 Dispute Resolution

Any disputes arising from these Terms or your use of the App shall be resolved through:

1. Good faith negotiation between the parties

2. If negotiation fails, binding arbitration in accordance with the rules of the American Arbitration Association

3. Arbitration shall take place in [Your State/Location]

15.3 Class Action Waiver

You agree to resolve disputes on an individual basis only and waive any right to participate in class action lawsuits or class-wide arbitration.

16. Miscellaneous

16.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and ChartWizard regarding the App.

16.2 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full effect.

16.3 Waiver

Our failure to enforce any right or provision of these Terms will not constitute a waiver of that right or provision.

16.4 Assignment

You may not assign or transfer these Terms or your account without our written consent. We may assign these Terms without restriction.

16.5 No Agency

Nothing in these Terms creates any agency, partnership, joint venture, or employment relationship between you and ChartWizard.
